Do Good Energy (“DGE”) Estimator Terms & Conditions

Nature of Estimate

All Purchase Price estimates (each an “Estimate”) provided through the DGE Estimator are non-binding and offered solely for informational purposes; they do not represent a formal offer, contract, or guarantee of purchase price.

Subject to Due Diligence

The final Purchase Price for the Solar Project and the terms of a definitive agreement will reflect a full due diligence review by DGE, which review may include, but is not limited to DGE’s:

  • Verification of system performance and generation history;
  • Review of site lease(s), power purchase agreements, and other legal contracts;
  • Inspection of physical condition, age, and components of the Solar Project;
  • Assessment of applicable incentives, tax credits, or renewable energy certificates (RECs); and
  • Evaluation of interconnection, utility policies, and regulatory compliance.

Market Conditions

Each Estimate is based on market conditions at the time DGE provides the Estimate to the prospective seller. DGE reserves the right to revise or withdraw a Purchase Price estimate if there are changes in:

  • Federal, state, or local laws and incentive programs;
  • Utility rules or interconnection requirements;
  • REC, SREC, or electricity market prices; and/or
  • Financing or capital market conditions.

Additional Requirements

Additional steps, time, and documentation may be required depending on the Solar Project’s location, ownership structure, or regulatory requirements. Unexpected findings during diligence (such as site conditions, undisclosed obligations, or equipment issues) may delay or alter any final terms.

User Responsibility

By using the Estimator, you represent and warrant to DGE that the information you provide is accurate and complete to the best of your knowledge. Each Estimates is based on the information submitted, and DGE reserves the right to revise or withdraw any estimate if the information provided is inaccurate, incomplete, or misleading.

No Obligation

DGE is not obligated to purchase any Solar Project based on an Estimate provided by the DGE Estimator. Any binding offer will only be made in writing following successful completion of due diligence and execution of definitive agreements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DGE is not responsible for any direct, indirect, incidental, or consequential losses or damages resulting from reliance on an estimate, use of the Estimator, or interruption of service. By using the Estimator, you acknowledge that estimates are preliminary and may differ materially from any final offer.

Governing Law

These Terms and Conditions are governed by the laws of the State where the Solar Project is located], without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in State where the Solar Project is located.

Updates and Severability

DGE may update or modify these Terms and Conditions at any time without prior notice. Continued use of the DGE Estimator constitutes acceptance of the updated Terms and Conditions. If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Intellectual Property

All content, software, technology, trademarks, logos, and branding used in the DGE Estimator are proprietary to DGE. Users may not copy, modify, distribute, or reverse engineer any aspect of the service.

Prohibited Uses

  • Provide false or misleading information;
  • Use automated tools to access the service;
  • Attempt to circumvent security measures;
  • Use estimates for unlawful or unauthorized purposes; or
  • Present estimates as binding offers from DGE.

Electronic Communications

By using the Estimator, you consent to receive electronic communications from DGE regarding your estimate and related services. You may also receive occasional updates about our services, which you may opt out of at any time.

Third-Party Data and Accuracy

Estimates may rely on third-party data sources (including weather, utility rates, and market pricing). DGE makes no warranties regarding the accuracy or completeness of such data and is not liable for errors in third-party information.

Service Availability

DGE reserves the right to suspend, modify, or discontinue the Estimator at any time without notice. We do not guarantee continuous or uninterrupted availability of the service.

Indemnification

You agree to indemnify, defend, and hold harmless DGE, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use or misuse of the DGE Estimator;
  • Your violation of these Terms and Conditions;
  • The inaccuracy or incompleteness of any information you provide; or
  • Any third-party claims arising from your use of the service.
